1. Scope
These general terms govern advisory, brokerage and structuring mandates of Naiz GmbH (“Naiz”), unless individually agreed otherwise in writing.
2. Mandate and conclusion
A mandate is concluded by a written engagement letter. Initial meetings are non-binding and free of charge.
3. Services
Naiz provides services in real-estate advisory, brokerage, financing structuring, valuation and strategic stewardship. The specific scope is defined in writing in the engagement letter.
4. Fees
Fees are charged as flat fee, hourly rate or success-based commission depending on the mandate. Modalities are agreed in writing in the engagement letter. VAT, where applicable, is shown separately.
5. Client cooperation
The client provides documents and information necessary for performance of the mandate completely, accurately and in good time.
6. Confidentiality
Naiz treats all information acquired in the mandate as confidential. The duty survives termination of the mandate. A separate NDA can be signed on request.
7. Independence and conflicts of interest
Naiz works independently of single banks, insurers or sales platforms. Existing or potential conflicts of interest are disclosed before mandate acceptance.
8. Liability
Liability is limited to wilful and grossly negligent conduct. Liability for slight negligence is excluded as far as legally permitted. Advisory-mandate liability is additionally capped at the fee agreed in the engagement letter.
9. Data protection
Personal data processing is governed by the separate privacy notice.
10. Termination
Either party may terminate at any time observing the agreed notice or, where none is agreed, a reasonable notice. Services already rendered are remunerated pro rata.
11. Applicable law and jurisdiction
Swiss law applies. Exclusive jurisdiction, where legally permitted, is Muttenz, Canton of Basel-Landschaft.
